Terms of Service.

These Terms of Service ("Terms") govern your access to and use of the products, software, and services provided by Intelense Inc. ("Intelense", "we", "us", or "our"), including the Ken360 platform and all associated products (KenVision, KenSafety, KenHome, KenAgri, KenRobotics, and KenIoT). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By signing up for, accessing, or using any Intelense service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
2. Service License
Subject to your compliance with these Terms and payment of applicable fees, Intelense grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Intelense software and platform for your internal business operations.
- Receive AI analytics insights generated by the platform from your connected cameras and sensors.
- Integrate with Intelense APIs as documented in our developer documentation.
This license does not include the right to sublicense, resell, or redistribute the services or any component thereof.
3. Acceptable Use
You agree not to use the services to:
- Violate any applicable local, provincial, national, or international laws or regulations.
- Engage in unauthorized surveillance, tracking, or profiling of individuals without proper legal authority or consent.
- Reverse engineer, decompile, disassemble, or attempt to derive source code from any part of the software.
- Use the platform to store, transmit, or process data in a manner that violates applicable privacy laws.
- Interfere with or disrupt the integrity or performance of the services or related infrastructure.
4. Data Processing & Privacy
Intelense processes data on your behalf as a data processor. You remain the data controller responsible for ensuring your use of the platform complies with applicable privacy laws, including PIPEDA (Canada), GDPR (EU), and any applicable state or regional laws.
Our AI models are designed to process metadata and event signals only — no raw video footage or personally identifiable information is stored by Intelense without your explicit instruction. Please refer to our Privacy Policy for complete details.
5. Intellectual Property
All rights, title, and interest in and to the Intelense platform, software, AI models, and related intellectual property remain exclusively with Intelense Inc. Nothing in these Terms transfers any intellectual property rights to you.
You retain all rights to your own data and content uploaded to the platform. By using the services, you grant Intelense a limited license to process your data solely for the purpose of delivering the contracted services.
6. Warranties & Disclaimers
The services are provided "as is" and "as available". Intelense makes no warranty that the services will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of any AI-generated insights for decisions with legal, medical, or safety-critical consequences.
Intelense expressly disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Intelense shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the services — even if Intelense has been advised of the possibility of such damages.
Intelense's total cumulative liability to you for any claims under these Terms shall not exceed the total fees paid by you to Intelense in the twelve (12) months preceding the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless Intelense and its officers, directors, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the services, or your violation of any third-party rights.
9. Modifications to the Service
Intelense reserves the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.
10. Termination
Either party may terminate the service agreement with written notice as outlined in your service contract. Intelense may immediately suspend or terminate your access if you materially breach these Terms. Upon termination, your license to use the services ceases and you must stop all use of the platform.
11. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
